Andrew Dolak
Counsel
Andrew Dolak is counsel in O’Melveny’s Newport Beach office and a member of the firm’s Transactional IP group. Andrew represents public and private companies in a broad range of technology sectors in domestic and international technology transactions.
Andrew’s practice is focused on the structuring and negotiation of technology-related transactions, including the purchase and sale of technology companies; the development, acquisition, sale and licensing of technology and intellectual property; and other technology-related transactions such as distribution, service, OEM, marketing, manufacture and supply agreements. He also advises clients with respect to IT and business process outsourcing and system implementation agreements.
Andrew’s technology transactions have involved clients in a broad range of industries, including the telecommunications, semiconductor, gaming, entertainment, automotive, utility, hospitality, financial services, real estate, pharmaceutical and health care industries.
Andrew has assisted clients in outsourcing almost all information technology functions, including data center operations, network operations, desktop support, telecommunications services, call center services, and application maintenance and development services. In addition to information technology functions, Andrew has assisted clients in outsourcing other business processes, including human resources, call center and financial services.
Before law school, Andrew gained 15 years of technical experience in the computer industry.

- Represented client in connection with its strategic acquisitions of intellectual property.
- Represented client in connection with its acquisition of global MPLS telecommunication services from Sprint.
- Represented client in connection with game platform OEM agreement with Atronic.
- Represented client in connection with negotiating IT support and maintenance agreements for six Los Angeles County hospitals.
- Represented client in strategic alliance with Microsoft with respect to the development, integration, and maintenance of commercial hosting services.
- Represented clientin drafting and negotiation of an ERP systems integration agreement with Deloitte Consulting.
- Represented client in negotiation with Disney Interactive for a license to incorporate Disney characters into client’s console and online massively-multiplayer games.
- Represented client in drafting and negotiation of software and technology development and acquisition agreements.
- Represented client in connection with the drafting and negotiation of DVD and Blu-ray replication and distribution agreements with Technicolor.
- Represented client in connection with its acquisition of Komag.

- Represented client in the outsourcing of finance and accounting functions.
- Represented client in drafting and negotiation of an information technology outsourcing agreement with TCS.
- Represented client in connection with the outsourcing of its human resources functions in North America to Hewitt-Exult.
- Represented client in an outsourcing transaction whereby the company outsourced its data center operations, desktop support and application maintenance functions to International Business Machines Corporation and Satyam.
- Represented client in drafting and negotiation of an information technology outsourcing agreement.
- Represented client in the outsourcing of certain remittance processing functions.
- Represented client in structuring and negotiating the outsourcing of all back office banking functions.
