Peter Chen

Peter Chen is a partner in O'Melveny's Hong Kong office and a member of the Transactions Department. Peter focuses himself in corporate issues, M&As and corporate finance transactions and has participated in numerous Hong Kong and London initial public offerings.
Peter recently advised GST Holdings Limited in a US$247 million takeover bid by United Technology. It is a voluntary general offer and the making of the bid is pre-conditional upon the applicable regulatory approvals or consents having been obtained, including the PRC antitrust filings.
In 2008, Peter also advised Hung Hing Printing Group Limited in its HK$865 million acquisition by CVC Asia Pacific Limited. This transaction involved a whitewash waiver which enabled CVC from becoming a single largest shareholder and triggered the change of control without the need to launch a takeover bid. Peter also acted for the underwriters (UBS, Goldman Sachs and BNP) in the US$1.43 billion global offering and listing of Want Want China Holdings Limited. Furthermore, Peter also acted for Merrill Lynch and Deutsche Bank as underwriters’ counsel in another US$100 million global offering and listing of Little Sheep Group Limited.
While with prior firms, Peter represented China Communications Services Corporation Limited in its global offering and listing in Hong Kong. He has also represented China Telecom Corporation Limited and CNOOC Limited on their initial public offerings and dual listings in New York and Hong Kong. In terms of London capital market transactions, he represented Sunplus Technology Co., Ltd. on its listing of global depositary receipts on the London Stock Exchange. Peter was also particularly involved in mergers and acquisitions. For example, he represented Telefónica International S.A. to acquire a certain stake and forming a strategic alliance with China Netcom Group Corporation (Hong Kong) Limited and the numerous asset acquisitions of China Telecom Corporation Limited. He also represented the Development Bank of Singapore in its acquisition of Dao Heng Bank in Hong Kong.
Peter is a current member and the Hong Kong convener of the Beijing Youth Federation and a regular speaker on topics relating to various aspects of the listing rules organized by the Hong Kong Stock Exchange, the Hong Kong Institute of Chartered Secretaries, and the Hong Kong and Macau Affairs Office of the State Council.
